1. Nature of MLMOrbit — Software Development and Delivery Only

MLMOrbit is a software development and delivery company. Our sole scope of activity is:

  • The development of direct selling and network marketing management software
  • The installation and configuration of that software on the client's designated server
  • The delivery of source code to Developer Edition clients
  • Technical support related to the operation of the software platform

MLMOrbit does not:

  • Own, operate, manage, control, or participate in any client's direct selling or network marketing business
  • Recruit, manage, compensate, or retain any distributor, member, or participant of any client's network
  • Sell, market, or distribute any product or service on behalf of any client
  • Process, hold, transfer, or manage any funds belonging to any client's members or distributors
  • Design, review, validate, certify, or endorse any client's compensation plan, business model, income claims, or product claims
  • Provide servers, hosting, or infrastructure — clients are solely responsible for procuring and maintaining their own server environment

MLMOrbit's relationship with every client begins and ends at the software. We are a software vendor. We are not a business partner, co-venturer, agent, representative, or affiliate of any client or their business.

2. Client's Sole Responsibility for Business Operations

The client — the individual or company that purchases MLMOrbit software — is solely and exclusively responsible for:

Legal Compliance

  • Ensuring that their direct selling or network marketing business operates in full compliance with all applicable laws and regulations in every jurisdiction in which they operate or recruit
  • Obtaining all necessary licences, registrations, and regulatory approvals required to operate a direct selling, network marketing, or multi-level marketing business
  • Ensuring their compensation plan, income claims, product claims, and business practices comply with consumer protection laws, including but not limited to the applicable regulations of the Federal Trade Commission (United States), the Consumer Protection Act (India), the Direct Selling Association guidelines, and the equivalent regulatory bodies in their operating jurisdictions
  • Ensuring their business does not constitute or resemble a pyramid scheme, Ponzi scheme, or any illegal financial arrangement as defined by applicable law

Business Operations

  • All decisions relating to the structure, operation, management, and growth of their direct selling business
  • All decisions relating to their compensation plan — including commission rates, bonus structures, capping rules, and qualification criteria
  • All decisions relating to product pricing, product claims, and the marketing of their products or services
  • All communications made to distributors, members, recruits, and customers, including all income claims, earnings representations, and opportunity statements
  • All tax obligations arising from the operation of their business and the payment of commissions to distributors
  • All disputes between the client and their distributors, customers, or third parties

Server and Infrastructure

MLMOrbit software requires installation on a dedicated Linux Ubuntu VPS. MLMOrbit does not provide, procure, manage, or maintain any server or hosting infrastructure. The client is entirely responsible for:

  • Selecting and purchasing their own server or VPS from a third-party hosting provider
  • Maintaining, securing, backing up, and ensuring the availability of their server
  • All costs, downtime, data loss, and security incidents arising from their server environment
  • Any claim made by their distributors or members arising from platform downtime, data loss, or service unavailability caused by the client's server infrastructure

3. No Endorsement of Any Business Model

The fact that MLMOrbit provides software capable of configuring and running a network marketing or multi-level marketing compensation plan does not constitute:

  • An endorsement, validation, certification, or approval of any client's business model
  • A representation that any client's business is legally compliant in any jurisdiction
  • A representation that any client's compensation plan is sustainable, profitable, or lawful
  • A guarantee or implication that distributors or members of any client's network will earn income, recoup their investment, or achieve any particular financial outcome

MLMOrbit takes no position on the legality, viability, or ethical standing of any individual client's business. The software is a neutral technical tool. Its configuration to implement a particular compensation structure does not imply that MLMOrbit has reviewed, approved, or validated that structure for any legal, regulatory, or commercial purpose.

4. Pyramid Scheme and Illegal Business Model Disclaimer

MLMOrbit is explicitly aware that:

  • Multi-level marketing and direct selling structures exist on a legal spectrum, and the distinction between a legitimate direct selling business and an illegal pyramid scheme is determined by regulators based on the specific conduct and compensation mechanics of each individual business
  • MLMOrbit software is capable of implementing compensation structures that, depending on how a client operates their business in practice, could be operated either as a legitimate direct selling business or as an illegal scheme
  • The mere existence of software infrastructure does not determine the legality of a client's business — that determination rests entirely on how the client operates their business, what they tell their distributors, how they structure their income flows, and what their products and services actually are

MLMOrbit explicitly disclaims any and all responsibility for:

  • Any determination by a regulatory authority, court, or law enforcement body that any client's business constitutes a pyramid scheme, Ponzi scheme, or illegal financial arrangement
  • Any investigation, prosecution, civil action, or regulatory enforcement action directed at any client arising from how they operate their business using MLMOrbit software
  • Any financial loss suffered by any distributor, member, recruit, customer, or third party participating in any client's network marketing or direct selling business
  • Any income claim, earnings representation, or business opportunity statement made by any client or their distributors to any prospective member or customer

If MLMOrbit is contacted, subpoenaed, or called upon by any regulatory authority, law enforcement body, or court in connection with any client's business operations, MLMOrbit will cooperate fully with such authorities as required by applicable law. Such cooperation does not constitute any admission of liability or wrongdoing on the part of MLMOrbit.

5. No Legal, Financial, or Business Advice

Nothing on the MLMOrbit website, in any demo session, in any sales communication, in any documentation, or in any support interaction constitutes:

  • Legal advice regarding the lawfulness of any business model, compensation plan, or business practice
  • Financial advice regarding the profitability, sustainability, or investment merit of any direct selling business
  • Business advice regarding the viability of any product, market, or network marketing strategy
  • Compliance advice regarding regulatory requirements in any jurisdiction

MLMOrbit strongly recommends that every client engage qualified legal counsel in their jurisdiction before launching a direct selling or network marketing business. MLMOrbit is not a law firm and does not provide legal services.

6. Software Provided "As Is"

MLMOrbit software is provided as-is, without warranty of any kind, express or implied, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the software will operate error-free or without interruption
  • Warranties that the software will meet all requirements of the client's business model
  • Warranties that the software, as configured, will produce any particular financial, operational, or business outcome

To the fullest extent permitted by applicable law, MLMOrbit's total liability to any client for any claim arising from the purchase, installation, use, or failure of MLMOrbit software shall not exceed the total amount paid by that client for the software.

MLMOrbit is not liable for:

  • Indirect, incidental, consequential, punitive, or special damages of any kind
  • Loss of revenue, profit, data, business opportunity, or goodwill
  • Downtime, service interruption, or data loss arising from the client's server infrastructure
  • Any claim by a third party (including the client's distributors or customers) arising from the client's use of the software

7. Third-Party Services and Infrastructure

MLMOrbit software may integrate with or recommend third-party services including payment gateways, live chat providers, analytics tools, and hosting providers. MLMOrbit has no control over and accepts no liability for:

  • The availability, reliability, or security of any third-party service
  • Any data breach, loss, or misuse occurring at a third-party service provider
  • Any change in the terms, pricing, or availability of any third-party service
  • Any claim arising from the client's use of any third-party service in connection with their MLMOrbit installation

The client is responsible for reviewing and accepting the terms of service of all third-party services they choose to use in connection with their MLMOrbit installation.

8. Indemnification

By purchasing and using MLMOrbit software, the client agrees to fully indemnify, defend, and hold harmless MLMOrbit, its developers, team members, and representatives from and against any and all claims, damages, losses, costs, and expenses (including legal fees) arising from:

  • The client's operation of their direct selling or network marketing business
  • Any regulatory investigation, enforcement action, or legal proceeding directed at the client's business
  • Any claim made by any of the client's distributors, members, customers, or recruits
  • The client's violation of any applicable law, regulation, or third-party right in connection with their use of MLMOrbit software
  • Any income claim, business opportunity statement, or product claim made by the client or their distributors
  • Any server failure, data breach, or security incident occurring within the client's infrastructure

9. Jurisdictional Compliance — Client's Responsibility

Multi-level marketing, direct selling, and network marketing are regulated differently in every country. Some jurisdictions prohibit MLM entirely. Some require specific licences. Some impose strict limits on compensation plan structures. Some ban recruitment-based income entirely.

MLMOrbit has no obligation to and does not:

  • Advise clients on the legality of their business model in any jurisdiction
  • Restrict access to the software based on the client's jurisdiction
  • Monitor, review, or assess the ongoing compliance of any client's business with applicable law
  • Update clients regarding changes in regulatory requirements in their jurisdiction

The client is solely responsible for determining whether their intended use of MLMOrbit software is lawful in every jurisdiction in which they operate. Purchasing MLMOrbit software does not authorise the client to operate any business that is illegal in their jurisdiction.

10. No Partnership, Agency, or Joint Venture

Nothing in the relationship between MLMOrbit and any client creates or implies:

  • A partnership, joint venture, or commercial alliance of any kind
  • An agency relationship in which MLMOrbit acts on behalf of the client or the client acts on behalf of MLMOrbit
  • Any shared responsibility for the client's business outcomes, regulatory compliance, or legal obligations
  • Any fiduciary duty owed by MLMOrbit to the client, the client's distributors, or any third party

MLMOrbit is an independent software vendor. Our relationship with every client is that of a software developer and a licensee. No broader relationship exists or is implied.

MLMOrbit reserves the right to update this Legal Disclaimer at any time. The effective date and last updated date at the top of this page reflect the most recent revision. Continued use of the website, software, or any MLMOrbit service after changes are published constitutes acceptance of the updated disclaimer.

This Legal Disclaimer is governed by the laws of India. Any dispute arising from this disclaimer or the relationship between MLMOrbit and any client shall be subject to the exclusive jurisdiction of the courts of Madurai, Tamil Nadu, India.
